Welcome to Kenmesh.com, a social networking platform operated by Kenmesh Inc. Kenmesh.com connects people who are passionate about yoga, meditation, healthy and clean eating, natural medicines, and active lifestyles. We also connect businesses with consumers who share these interests.

Please read these Terms and Conditions ("Terms" or "TOS") carefully before using the Kenmesh.com platform and services. Our collection, use, storage, retention, and deletion of personal data is described separately in our Privacy Policy, which is incorporated into these Terms by reference.

1. ACCEPTANCE OF TERMS

Kenmesh Inc. ("Kenmesh.com," "we," "us," or "our") welcomes you. Kenmesh.com provides a social networking platform with access to a rich collection of holistic resources for people interested in yoga, meditation, healthy and clean eating, natural medicines, and active lifestyles. Our services include, without limitation, various communications tools, forums, community groups, shopping services, search services, personalized content, and branded programming through our network of service providers, which may be accessed through any medium or device now known or hereafter developed (collectively, the "Kenmesh.com Services").

By accessing and using the Kenmesh.com Services, you accept and agree to be bound by these Terms, which may be updated by us from time to time without prior notice. You can review the most current version of the Terms at any time on Kenmesh.com. When using particular Kenmesh.com-owned or -operated services, you and Kenmesh.com shall also be subject to any posted guidelines or rules applicable to such services, which may be posted and modified from time to time.

You understand and agree that:

The Kenmesh.com Services may include advertisements, and these advertisements are necessary for Kenmesh.com to sustain and provide the Services.

The Kenmesh.com Services may include certain communications from Kenmesh.com, such as service announcements, administrative messages, and the Kenmesh.com Newsletter. These communications are considered part of your Kenmesh.com membership, and you will not be able to opt out of receiving them.

Unless explicitly stated otherwise, any new features that augment or enhance the current Kenmesh.com Services, including the release of new properties, shall be subject to these Terms.

The Kenmesh.com Services are provided "AS-IS" and Kenmesh.com assumes no responsibility for the timeliness, deletion, mis-delivery, or failure to store any user communications or personalization settings.

You are responsible for obtaining access to the Kenmesh.com Services, and that access may involve third-party fees (such as Internet service provider charges). You are responsible for those fees, including fees associated with the display or delivery of advertisements.

You must provide and are responsible for all equipment necessary to access the Kenmesh.com Services.

2. REGISTRATION OBLIGATIONS

In consideration of your use of the Kenmesh.com Services, you represent that:

You are of legal age (18 years or older) to form a binding contract.

You are not a person barred from receiving the Kenmesh.com Services under the laws of the United States or any other applicable jurisdiction.

You also agree to:

(a) Provide true, accurate, current, and complete information about yourself as prompted by the Kenmesh.com registration form (the "Registration Data"); and

(b) Maintain and promptly update the Registration Data to keep it true, accurate, current, and complete.

If you provide any information that is untrue, inaccurate, not current, or incomplete, or if Kenmesh.com has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Kenmesh.com has the right to suspend or terminate your account and refuse any and all current or future use of the Kenmesh.com Services (or any portion thereof).

Children's Safety: Kenmesh.com is concerned about the safety and privacy of all its users, particularly children. The Kenmesh.com Services are designed to appeal to a broad audience. Accordingly, as a legal guardian, it is your responsibility to determine whether any of the Kenmesh.com Services and/or Content (as defined in Section 4 below) are appropriate for your child.

3. ACCOUNT, PASSWORD, AND SECURITY

You will receive a password and account designation upon completing the Kenmesh.com registration process. You are responsible for:

Maintaining the confidentiality of your password and account.

All activities that occur under your password or account.

You agree to:

(a) Immediately notify Kenmesh.com of any unauthorized use of your password or account or any other breach of security; and

(b) Ensure that you log out of your account at the end of each session.

Kenmesh.com cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

4. MEMBER CONDUCT

4.1 Content Responsibility

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not Kenmesh.com, are entirely responsible for all Content that you upload, post, email, transmit, or otherwise make available via the Kenmesh.com Services.

Kenmesh.com does not control the Content posted via the Kenmesh.com Services and, as such, does not guarantee the accuracy, integrity, or quality of such Content. You understand that by using the Kenmesh.com Services, you may be exposed to Content that is offensive, indecent, or objectionable. Under no circumstances will Kenmesh.com be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available via the Kenmesh.com Services.

4.2 Prohibited Uses

You agree not to use the Kenmesh.com Services to:

Upload, post, email, transmit, or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

Harm minors in any way.

Upload, post, share, transmit, or otherwise make available any adult content, sexually explicit material, nudity, or pornographic content of any kind. Child Sexual Abuse Material (CSAM) and child pornography are strictly prohibited. Any user found sharing, distributing, or possessing such material will have their account immediately terminated, all associated data will be preserved as evidence, and the matter will be reported to the National Center for Missing & Exploited Children (NCMEC), the Federal Bureau of Investigation (FBI), and all applicable law enforcement authorities. Violators will be subject to criminal prosecution to the fullest extent of the law, including but not limited to prosecution under 18 U.S.C. 2251-2260 (Sexual Exploitation of Children) and applicable state and international laws. Kenmesh.com maintains a zero-tolerance policy on this matter.

Impersonate any person or entity, including but not limited to a Kenmesh.com official, forum leader, guide, or host, or falsely state or otherwise misrepresent your affiliation with a person or entity.

Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Kenmesh.com Services.

Upload, post, email, transmit, or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).

Upload, post, email, transmit, or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights ("Rights") of any party.

Upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in areas designated for such purpose.

Upload, post, email, transmit, or otherwise make available any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment.

Disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real-time exchanges.

Interfere with or disrupt the Kenmesh.com Services or servers or networks connected to the Kenmesh.com Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Kenmesh.com Services, including using any device, software, or routine to bypass robot exclusion headers.

Provide material support or resources (or conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization designated by the United States government as a foreign terrorist organization pursuant to Section 219 of the Immigration and Nationality Act.

"Stalk" or otherwise harass another user.

Collect or store personal data about other users in connection with the prohibited conduct and activities set forth above.

Engage in, encourage, promote, or glorify cyberbullying, intimidation, targeted harassment campaigns, or coordinated abuse against any individual or group of individuals on or off the platform.

Create, operate, or maintain bots, automated accounts, fake accounts, or AI-generated personas designed to manipulate conversations, artificially inflate engagement, spread spam, or deceive other users. All accounts must represent a real person or a legitimate, identifiable business entity.

Post, share, or promote content that constitutes health misinformation, including but not limited to false or unverified medical claims, fraudulent cures, dangerous self-treatment advice, or misleading information about vaccines, medications, or medical procedures. Kenmesh.com is a wellness lifestyle platform, not a medical resource. Users sharing wellness experiences must not present personal opinions as medical facts or professional advice.

Promote, advertise, sell, distribute, or facilitate the sale or distribution of illegal drugs, controlled substances, or unlicensed pharmaceutical products through the Kenmesh.com Services. While Kenmesh.com supports discussion of natural medicines, herbal remedies, and legal wellness products, any promotion of substances that are illegal under federal, state, or local law is strictly prohibited and may be reported to law enforcement authorities.

Post, share, or promote content that encourages, glorifies, or provides instructions for suicide or self-harm. If Kenmesh.com becomes aware that a user may be in immediate danger of harming themselves or others, Kenmesh.com reserves the right to take appropriate action, including contacting emergency services and relevant authorities to protect the safety of the individual and the community. If you or someone you know is in crisis, please contact the 988 Suicide & Crisis Lifeline (call or text 988) or the Crisis Text Line (text HOME to 741741).

Use the Kenmesh.com Services to plan, organize, promote, coordinate, or incite any criminal activity, violence, riots, insurrection, civil unrest, uprising, rebellion, or any form of illegal action against any government, institution, group, or individual. This includes, but is not limited to, organizing or encouraging acts of terrorism, sedition, domestic extremism, mob violence, looting, arson, or any activity that threatens public safety or national security. Any user found using the platform for such purposes will have their account immediately terminated, all associated data and communications will be preserved and turned over to law enforcement, and the matter will be reported to the FBI, the Department of Homeland Security (DHS), and all applicable federal, state, local, and international law enforcement authorities. Violators will be subject to criminal prosecution to the fullest extent of the law. Kenmesh.com maintains a zero-tolerance policy regarding the use of its platform for any criminal or unlawful activity.

4.3 Content Moderation

You acknowledge that Kenmesh.com may or may not pre-screen Content, but that Kenmesh.com and its designees shall have the right (but not the obligation), in their sole discretion, to pre-screen, refuse, or remove any Content that is available via the Kenmesh.com Services. Without limiting the foregoing, Kenmesh.com and its designees shall have the right to remove any Content that violates the TOS or is otherwise objectionable.

You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. You acknowledge that you may not rely on any Content created by Kenmesh.com or submitted to Kenmesh.com, including without limitation information in Kenmesh.com Message Boards and in all other parts of the Kenmesh.com Services.

4.4 Disclosure of Information

You acknowledge, consent, and agree that Kenmesh.com may access, preserve, and disclose your account information and Content if required to do so by law or in a good faith belief that such access, preservation, or disclosure is reasonably necessary to:

(i) Comply with legal process;

(ii) Enforce the TOS;

(iii) Respond to claims that any Content violates the rights of third parties;

(iv) Respond to your requests for customer service; or

(v) Protect the rights, property, or personal safety of Kenmesh.com, its users, and the public.

4.5 Security Components

You understand that the Kenmesh.com Services and software embodied within the Kenmesh.com Services may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by Kenmesh.com and/or content providers who provide content to the Kenmesh.com Services. You may not attempt to override or circumvent any of the usage rules embedded into the Kenmesh.com Services. Any unauthorized reproduction, publication, further distribution, or public exhibition of the materials provided on the Kenmesh.com Services, in whole or in part, is strictly prohibited.

5. PRIVACY

Your privacy is important to us. Our collection, use, storage, retention, and deletion of your personal information is governed by our separate Privacy Policy, which is incorporated into these Terms by reference.

By using the Kenmesh.com Services, you acknowledge that you have read and understood the Privacy Policy, and you consent to the data practices described therein. In the event of any conflict between these Terms and the Privacy Policy with respect to personal data handling, the Privacy Policy shall control.

6. USER CONTENT AND LICENSES

6.1 Content Ownership

Kenmesh.com does not claim ownership of Content you submit or make available for inclusion on the Kenmesh.com Services. However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the Kenmesh.com Services, you grant Kenmesh.com the following worldwide, royalty-free, and non-exclusive license(s), as applicable:

6.2 License Grants

For Kenmesh.com Groups:

You grant Kenmesh.com the license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display such Content on the Kenmesh.com Services solely for the purposes of providing and promoting the specific Kenmesh.com Group to which such Content was submitted or made available. This license exists only for as long as you elect to continue to include such Content on the Kenmesh.com Services and will terminate when you or Kenmesh.com removes such Content.

For photos, graphics, audio, or video (outside of Groups):

You grant Kenmesh.com the license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display such Content on the Kenmesh.com Services solely for the purpose for which such Content was submitted or made available. This license exists only for as long as you elect to continue to include such Content on the Kenmesh.com Services and will terminate when you or Kenmesh.com removes such Content.

For all other Content (outside of Groups):

You grant Kenmesh.com the perpetual, irrevocable, and fully sublicensable license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform, and publicly display such Content (in whole or in part) and to incorporate such Content into other works in any format or medium now known or later developed.

6.3 Publicly Accessible Areas

"Publicly accessible" areas of the Kenmesh.com Services are those areas intended by Kenmesh.com to be available to the general public. Examples include Kenmesh.com Message Boards and portions of Kenmesh.com Groups and social media features that are open to both members and visitors.

Publicly accessible areas would not include portions of Kenmesh.com Groups that are limited to members, services intended for private communication (such as Kenmesh.com Mail or Kenmesh.com Messenger), or areas outside the Kenmesh.com network that are accessible via hypertext or other links but are not hosted or served by Kenmesh.com.

6.4 Contributions

By submitting ideas, suggestions, or other contributions to Kenmesh.com, you acknowledge that Kenmesh.com may have something similar already under consideration or in development. Your contributions automatically become the property of Kenmesh.com without any obligation to you, and you are not entitled to any compensation or reimbursement of any kind from Kenmesh.com under any circumstances.

7. INTELLECTUAL PROPERTY

7.1 Proprietary Rights

You acknowledge and agree that the Kenmesh.com Services and any necessary software used in connection with the Kenmesh.com Services ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in advertisements or information presented to you through the Kenmesh.com Services or by advertisers is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws.

Except as expressly permitted by applicable law or as authorized by Kenmesh.com or the applicable licensor, you agree not to:

Modify, rent, lease, loan, sell, distribute, transmit, broadcast, publicly perform, or create derivative works based on the Kenmesh.com Services, Content, or Software, in whole or in part.

Copy, modify, create a derivative work from, reverse engineer, reverse assemble, or otherwise attempt to discover any source code of the Software.

Sell, assign, sublicense, grant a security interest in, or otherwise transfer any right in the Software.

Use modified versions of the Software, including for the purpose of obtaining unauthorized access to the Kenmesh.com Services.

7.2 Trademark Information

You agree that all of Kenmesh.com's trademarks, trade names, service marks, logos, brand features, and product and service names are trademarks and the property of Kenmesh Inc. (the "Kenmesh.com Marks"). Without Kenmesh.com's prior permission, you agree not to display or use in any manner the Kenmesh.com Marks.

7.3 Copyright Infringement Claims (DMCA)

Kenmesh.com respects the intellectual property of others, and we ask our users to do the same. Kenmesh.com may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may be repeat infringers.

If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide Kenmesh.com's Copyright Agent the following information:

1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest.

2. A description of the copyrighted work or other intellectual property that you claim has been infringed.

3. A description of where the material that you claim is infringing is located on the site.

4. Your address, telephone number, and email address.

5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

8. INTERSTATE AND INTERNATIONAL USE

8.1 Interstate Nature of Communications

When you register with Kenmesh.com, you acknowledge that in using the Kenmesh.com Services to send electronic communications (including but not limited to email, search queries, messages, uploading photos and files, and other Internet activities), you will be causing communications to be sent through Kenmesh.com's computer networks, portions of which are located in Oregon and other locations in the United States, and portions of which are located abroad.

As a result, and also due to Kenmesh.com's network architecture and business practices and the nature of electronic communications, even communications that seem to be intrastate in nature can result in the transmission of interstate communications regardless of where you are physically located at the time of transmission. By agreeing to these Terms, you acknowledge that use of the service results in interstate data transmissions.

8.2 International Use and Export Compliance

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Use of the Kenmesh.com Services and transfer, posting, and uploading of software, technology, and other technical data via the Kenmesh.com Services may be subject to the export and import laws of the United States and other countries.

You agree to comply with all applicable export and import laws and regulations. In particular, you:

(a) Represent that you are not a party identified on any government export exclusion list, including but not limited to the U.S. Denied Persons, Entity, and Specially Designated Nationals Lists, nor will you transfer software, technology, or other technical data via the Kenmesh.com Services to parties identified on such lists.

(b) Agree not to use the Kenmesh.com Services for military, nuclear, missile, chemical, or biological weaponry end uses in violation of U.S. export laws.

(c) Agree not to transfer, upload, or post via the Kenmesh.com Services any software, technology, or other technical data in violation of U.S. or other applicable export or import laws.

9. THIRD PARTIES

9.1 Advertisers

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Kenmesh.com Services, including payment and delivery of related goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such advertiser. You agree that Kenmesh.com shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Kenmesh.com Services.

9.2 Links to Third-Party Sites

The Kenmesh.com Services may provide, or third parties may provide, links to other websites or resources. You acknowledge and agree that:

Kenmesh.com is not responsible for the availability of such external sites or resources.

Kenmesh.com does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources.

Kenmesh.com shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods, or services available on or through any such site or resource.

9.3 Third-Party Services

The Kenmesh.com platform may display, include, or make available third-party content (including data, information, applications, and other products or services) or provide links to third-party websites or services ("Third-Party Services").

You acknowledge and agree that:

Kenmesh.com shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof.

Kenmesh.com does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services.

Third-Party Services and links thereto are provided solely as a convenience to you, and you access and use them entirely at your own risk and subject to such third parties' terms and conditions.

10. NO COMMERCIAL REUSE

You agree not to reproduce, duplicate, copy, trade, resell, or exploit for any commercial purposes any portion or use of, or access to, the Kenmesh.com Services (including Content, advertisements, Software, and your Kenmesh.com ID).

11. GENERAL PRACTICES REGARDING USE AND STORAGE

You acknowledge that Kenmesh.com may establish general practices and limits concerning use of the Kenmesh.com Services, including without limitation:

The maximum number of days that messages, posts, or other uploaded Content will be retained.

The maximum number of messages that may be sent from or received by an account.

The maximum size of any message that may be sent from or received by an account.

The maximum disk space allotted on Kenmesh.com's servers on your behalf.

The maximum number of times (and the maximum duration for which) you may access the Kenmesh.com Services in a given period of time.

You agree that Kenmesh.com has no responsibility or liability for the deletion or failure to store any messages, communications, or other Content maintained or transmitted by the Kenmesh.com Services. You acknowledge that Kenmesh.com reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that Kenmesh.com reserves the right to modify these general practices and limits from time to time.

12. MODIFICATIONS TO SERVICES

Kenmesh.com reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Kenmesh.com Services (or any part thereof) with or without notice. You agree that Kenmesh.com shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Kenmesh.com Services (or any part thereof).

13. TERMINATION

13.1 Termination by You

You may terminate your Kenmesh.com account, any associated email address, and access to the Kenmesh.com Services by submitting an account deletion request through the platform. For details on how your data is handled upon account termination, see the Privacy Policy.

13.2 Termination by Kenmesh.com

You agree that Kenmesh.com may, without prior notice, immediately terminate, limit your access to, or suspend your Kenmesh.com account, any associated email address, and access to the Kenmesh.com Services. Cause for such termination, limitation of access, or suspension shall include, but not be limited to:

(a) Breaches or violations of the TOS or other incorporated agreements or guidelines;

(b) Requests by law enforcement or other government agencies;

(d) Unexpected technical or security issues or problems;

(e) Extended periods of inactivity;

(f) Engagement by you in fraudulent or illegal activities; and/or

(g) Nonpayment of any fees owed by you in connection with the Kenmesh.com Services.

All terminations, limitations of access, and suspensions for cause shall be made in Kenmesh.com's sole discretion. Kenmesh.com shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Kenmesh.com Services.

13.3 Effects of Termination

Termination of your Kenmesh.com account includes any or all of the following:

(a) Removal of access to all or part of the offerings within the Kenmesh.com Services;

(b) Deletion of your password and all related information, files, and content associated with or inside your account (or any part thereof); and

14. INDEMNITY

You agree to indemnify and hold Kenmesh.com and its subsidiaries, affiliates, officers, agents, employees, partners, and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of:

Content you submit, post, transmit, modify, or otherwise make available through the Kenmesh.com Services;

Your use of the Kenmesh.com Services;

Your connection to the Kenmesh.com Services;

Your violation of the TOS; or

Your violation of any rights of another.

15. DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

(a) YOUR USE OF THE KENMESH.COM SERVICES AND SOFTWARE IS AT YOUR SOLE RISK. THE KENMESH.COM SERVICES AND SOFTWARE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. KENMESH.COM AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

(b) KENMESH.COM AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS MAKE NO WARRANTY THAT: (i) THE KENMESH.COM SERVICES OR SOFTWARE WILL MEET YOUR REQUIREMENTS; (ii) THE KENMESH.COM SERVICES OR SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE KENMESH.COM SERVICES OR SOFTWARE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE KENMESH.COM SERVICES OR SOFTWARE WILL MEET YOUR EXPECTATIONS; AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

(c) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE KENMESH.COM SERVICES OR SOFTWARE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR AND HEREBY WAIVE ANY AND ALL CLAIMS AND CAUSES OF ACTION WITH RESPECT TO ANY DAMAGE TO YOUR COMPUTER SYSTEM, INTERNET ACCESS, DOWNLOAD OR DISPLAY DEVICE, OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

(d) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM KENMESH.COM OR THROUGH OR FROM THE KENMESH.COM SERVICES OR SOFTWARE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

16. LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT KENMESH.COM AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF KENMESH.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:

(a) THE USE OR THE INABILITY TO USE THE KENMESH.COM SERVICES;

(b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES;

(d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE KENMESH.COM SERVICES; OR

(e) ANY OTHER MATTER RELATING TO THE KENMESH.COM SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

17. END-USER LICENSE AGREEMENT (EULA)

Please read this End-User License Agreement ("Agreement") carefully before clicking the "I Agree" button, downloading, or using the Kenmesh.com application ("Application").

By clicking the "I Agree" button, downloading, or using the Application, you are agreeing to be bound by the terms and conditions of this Agreement. This Agreement is a legal agreement between you (either an individual or a single entity) and Kenmesh.com, and it governs your use of the Application made available to you by Kenmesh.com.

If you do not agree to the terms of this Agreement, do not click on the "I Agree" button and do not download or use the Application. The Application is licensed, not sold, to you by Kenmesh.com for use strictly in accordance with the terms of this Agreement.

17.1 License

Kenmesh.com grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application solely for your personal, non-commercial purposes strictly in accordance with the terms of this Agreement.

17.2 Restrictions on Use

By submitting, entering, or linking to any Content, you represent that you have the right and authority to do so without violation of law or infringement of any third party's intellectual property rights or privacy rights. Additionally, any Content submitted by you constitutes a representation that you have the right to display, play back, and/or perform such content publicly on the platform.

You may not use the Application for any of the following purposes:

Disseminating any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material.

Transmitting material that encourages conduct that constitutes a criminal offense, results in civil liability, or otherwise breaches any relevant laws, regulations, or codes of practice.

Gaining unauthorized access to other computer systems.

Interfering with any other person's use or enjoyment of the platform.

Breaching any applicable laws.

Interfering with or disrupting networks or websites connected to the platform.

Making, transmitting, or storing electronic copies of materials protected by copyright without the permission of the owner.

17.3 Termination of License

The rights granted under this EULA are effective until terminated. Kenmesh.com may terminate your rights by denying access to the Application or by written notice, including by electronic transmission.

Upon termination of your rights:

You shall immediately cease use of the Application.

You may not be able to retrieve any data you have submitted. We urge you to maintain copies of all content submitted by you for your own protection.

Kenmesh.com's rights and your representations and covenants under this EULA shall survive any termination.

This Agreement will terminate immediately, without prior notice from Kenmesh.com, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your devices.

17.4 Disclaimer of Liability

Neither Kenmesh.com nor its licensors, suppliers, distributors, or dealers, nor anyone else who has been involved in the creation, production, or delivery of this Application shall be liable for any direct, indirect, consequential, or incidental damages, lost profits, business interruption, or loss of information arising out of the use, the results of use, or inability to use the Application, or damage or loss caused by the Application, even if advised of the possibility of such damages or claim.

17.5 Amendments to this Agreement

Kenmesh.com reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Application after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Application.

18. CONTENT ACCURACY AND COMMENT POLICY

18.1 Content Accuracy

Content and information contained in the Kenmesh.com platform and mobile application has been compiled by Kenmesh.com based on data submitted directly from local promotion partners and business entities. While every effort is made to ensure the accuracy of this information, all data is subject to change without notice. Users are advised to contact individual businesses or organizations to obtain information to their satisfaction before relying on it. Links to third-party websites are provided as a convenience; Kenmesh.com does not control or endorse the content or make any claims to the accuracy of third-party content.

18.2 Comment Policy

Kenmesh.com encourages comments, critiques, questions, and suggestions. By posting comments on the Kenmesh.com network of sites, you agree to the following:

All comments left on the Kenmesh.com network are the responsibility of the commenter. By submitting a comment, you agree that the comment content is your own and you hold Kenmesh.com harmless from any and all repercussions, damages, or liability.

Kenmesh.com reserves the right to edit, delete, move, or mark as spam any and all comments, and to block access by any individual or group from commenting or from the entire network of sites.

The comment form must be filled in with a proper or legitimate-sounding name.

Email Privacy: Valid email addresses are required for commenting and are not published or shared except as described in these Terms and the Privacy Policy. They may be used by Kenmesh.com to privately contact the commenter.

Commenter Privacy and Protection: All email, physical mail, phone numbers, and any private and personal information posted in any comment will be deleted as soon as possible to protect the privacy of the commenter. To prevent such editing, never share private information within a comment.

19. USER REPORTING MECHANISM

Kenmesh.com is committed to maintaining a safe and respectful community. If you encounter any content or behavior that violates these Terms, we encourage you to report it promptly.

19.1 How to Report

You may report violations through any of the following methods:

In-app reporting: Use the "Report" button available on posts, profiles, messages, and comments to flag content or users directly within the platform.

By email: Send a detailed report to info@kenmesh.com with the subject line "Content Violation Report."

19.2 What to Include in a Report

When submitting a report, please include as much of the following information as possible:

A description of the violation.

The username or profile link of the offending user.

A link to or screenshot of the offending content.

The date and time the violation occurred.

Any additional context that may help our review.

19.3 How We Handle Reports

All reports are reviewed by our Trust & Safety team.

Kenmesh.com will make reasonable efforts to review and respond to reports in a timely manner.

Actions taken may include content removal, warnings, temporary suspension, permanent account termination, or referral to law enforcement, depending on the severity of the violation.

Reports are treated confidentially. The identity of the reporter will not be disclosed to the reported user unless required by law.

Kenmesh.com reserves the right to take action on violations discovered through its own monitoring, even in the absence of a user report.

19.4 False Reports

Submitting false, misleading, or malicious reports with the intent to harass another user or abuse the reporting system is itself a violation of these Terms and may result in disciplinary action against the reporting user, including account suspension or termination.

20. DISPUTE RESOLUTION AND ARBITRATION

20.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact Kenmesh.com at info@kenmesh.com and attempt to resolve the dispute informally. Both parties agree to make a good faith effort to resolve any dispute within thirty (30) days of the initial notice.

20.2 Binding Arbitration

If the dispute cannot be resolved informally within thirty (30) days, you and Kenmesh.com agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Kenmesh.com Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the State of Oregon, United States, or at another mutually agreed-upon location.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The arbitration shall be conducted on an individual basis, not as a class, consolidated, or representative action.

20.3 Class Action Waiver

YOU AND KENMESH.COM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Kenmesh.com agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, consolidated, or representative proceeding.

20.4 Exceptions to Arbitration

Notwithstanding the above, either party may:

Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Bring claims in small claims court, if the claims qualify.

20.5 Opt-Out

You have the right to opt out of this arbitration agreement by sending written notice of your decision to info@kenmesh.com within thirty (30) days of first accepting these Terms. If you opt out, the Governing Law and jurisdiction provisions in Section 21 shall apply.

21. GOVERNING LAW

The laws of Oregon, United States, excluding its conflicts of law rules, shall govern these Terms and your use of the Kenmesh.com Services and Application. Your use of the Kenmesh.com Services may also be subject to other local, state, national, or international laws.

22. SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. The remaining provisions of these Terms shall continue in full force and effect.

23. NO WAIVER

The failure of Kenmesh.com to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Kenmesh.com's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

24. FORCE MAJEURE

Kenmesh.com shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond Kenmesh.com's reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, labor disputes, shortages of transportation, fuel, energy, labor, or materials, failure of telecommunications or information systems infrastructure, hacking, cyberattacks, government orders or restrictions, or any other event that is beyond the reasonable control of Kenmesh.com. In such circumstances, Kenmesh.com's obligations under these Terms shall be suspended for the duration of the force majeure event.

26. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy (which is incorporated into these Terms by reference), constitute the entire agreement between you and Kenmesh.com regarding your use of the Kenmesh.com Services and Application, and supersede all prior and contemporaneous written or oral agreements between you and Kenmesh.com. You may be subject to additional terms and conditions that apply when you use or purchase other Kenmesh.com services, which Kenmesh.com will provide to you at the time of such use or purchase.
